Universal Digital (CSE: LFG) (FSE: 8R20) (OTCQB: LFGMF) has entered a subscription agreement with Helena Global Investment Opportunities 1 Ltd. for a private placement of up to $50 million in senior secured convertible debentures to be issued in up to 14 tranches, with the first $3.34 million tranche expected to close on or about Oct. 31, 2025. The one-year debentures will bear 17.5% annual interest, be convertible at 100% of the prior day’s CSE closing price (subject to a $0.05 minimum), and be secured by all current and acquired Bitcoin holdings. Each tranche will also include warrants equal to 25% of the tranche amount, exercisable for three years at 130% of the prior day’s closing price. “This financing framework provides Universal Digital with a flexible, scalable capital structure to support our Bitcoin Treasury Strategy and future digital-asset initiatives,” said CEO Chris Yeung.
